Terms of Service
1. Parties and acceptance
These Terms of Service (hereinafter — the "Terms") govern the relationship between AlCom Engineering Group LLP (hereinafter — "ScoutLoop", "we"), a limited liability partnership registered in the Republic of Kazakhstan, Almaty, and the individual or legal entity using the ScoutLoop service (hereinafter — the "Client", "you").
By accessing the service, registering an account, or connecting an Instagram account, you confirm that you have read, understood, and agree to comply with these Terms and the Privacy Policy. If you do not agree — do not use the service.
If you use the service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of the service
ScoutLoop is a software-as-a-service (SaaS) platform that helps business owners manage their Instagram account: analyze trends in their market niche based on publicly available data, create content plans, publish content via Meta Platforms official APIs, and run advertising campaigns via Meta Ads.
The service is provided "as is" in its current configuration. We reserve the right to modify, add, and remove functionality, with prior notice to active Clients.
ScoutLoop is a Tech Provider in Meta terminology and acts on your behalf when interacting with Instagram and Facebook based on permissions granted by you.
3. Account and Meta connection
- To use the service, you create an account using accurate information. You undertake to keep it current.
- You are responsible for the confidentiality of your password and for all actions taken from your account.
- Connecting an Instagram Business Account and Facebook Page is done via the official Facebook Login for Business mechanism. ScoutLoop does not request or store your Meta passwords.
- You can revoke ScoutLoop's access at any time via Instagram / Facebook settings (Settings → Apps and Websites).
4. Fees and pricing
As of the publication of this version of the Terms, the service is in private beta testing. Use terms for beta Clients are defined by individual agreements. Pricing after the general availability launch will be published on the site and agreed with active Clients separately.
All prices are quoted in Kazakhstan tenge (KZT) or US dollars (USD) at the Client's choice. Payment is made in the manner agreed in the individual contract.
5. Acceptable use
By using ScoutLoop, you undertake to:
- Comply with the applicable laws of the Republic of Kazakhstan and your country of residence.
- Comply with Meta Platforms Terms, Instagram Terms of Use, and Meta Platform Terms.
- Not publish through ScoutLoop content that violates the law, third-party rights, or Meta policies (including, without limitation, disinformation, hate speech, spam, copyright infringement, sexually explicit content, and violence).
- Not use ScoutLoop for automated mass messaging or commenting (spam), follower / engagement inflation, imitation of user behavior, or other actions prohibited by Meta.
- Not attempt to gain unauthorized access to the system, bypass security measures, decrypt transmitted data, or disrupt server operations.
- Not use the service for competitive analysis aimed at copying the ScoutLoop product or providing similar services to third parties without a written agreement.
Violation of this section is grounds for immediate suspension of the account without compensation.
6. Your content and rights
You retain all rights to the content (photos, videos, texts) you upload to ScoutLoop or which ScoutLoop publishes on your behalf to Instagram and Facebook.
By connecting your Instagram account to ScoutLoop, you grant us a limited, non-exclusive license to store, process, display, and publish your content solely for the purpose of providing the service described in Section 2. This license terminates upon deletion of your data pursuant to the deletion procedure.
You confirm that you hold all rights to the uploaded content or have all necessary permissions from rightsholders. ScoutLoop is not responsible for third-party rights infringements by the Client.
7. ScoutLoop intellectual property
All exclusive rights to the ScoutLoop software, databases, user interface, trademarks, and the scoutloop.io domain belong to AlCom Engineering Group LLP. The Terms do not grant you any rights to these assets, except the limited right to use the service in accordance with these Terms.
Copying, decompilation, reverse engineering, transfer of access to third parties, or creation of derivative works without the written consent of ScoutLoop is prohibited.
8. Compliance with Meta terms
Use of ScoutLoop with a connected Instagram account is also governed by Meta Platforms terms. You agree to:
In case of conflict between these Terms and mandatory Meta requirements, the mandatory Meta requirements prevail with respect to interaction with Meta platforms.
9. Warranties and disclaimers
The service is provided "AS IS" and "AS AVAILABLE" without express or implied warranties, except those expressly required by applicable law.
We make reasonable efforts to keep the service operational but do not warrant:
- Uninterrupted operation without failures or errors;
- Achievement of any specific results in promoting your Instagram (follower growth, reach, leads);
- Compatibility with any changes to Meta APIs that may occur without prior notice;
- Data integrity in case of failures beyond our reasonable control.
10. Limitation of liability
To the maximum extent permitted by applicable law, ScoutLoop's aggregate liability to the Client for any claims arising out of the use of the service is limited to the amount actually paid by the Client for services in the 6 (six) months preceding the event giving rise to the claim.
ScoutLoop is not liable for:
- indirect, incidental, special, punitive, or consequential damages;
- lost profit, reputational damage, or data loss not caused by ScoutLoop's wilful misconduct;
- actions of Meta Platforms, including blocking the Client's Instagram account, API functionality restrictions, or changes to platform policies;
- actions of the Client or third parties violating Meta terms or applicable law.
11. Suspension and termination
Either party may terminate the relationship:
- Client: at any time by revoking Instagram access in Meta settings and submitting a data-deletion request (see Section 14 and the deletion page).
- ScoutLoop: with 30 days' notice for any reason; immediately and without notice — in case of material breach of these Terms, breach of Meta policies, fraudulent conduct, or unpaid debt.
After termination, we delete the Client's data in accordance with the "Retention periods" section of the Privacy Policy.
12. Changes to the Terms
We may amend the Terms. Material changes take effect no earlier than 14 days after the new version is published at scoutloop.io/en/terms. Active Clients receive notice by email. Continued use of the service after changes take effect constitutes acceptance of the new version.
13. Governing law and disputes
These Terms are governed by and construed in accordance with the laws of the Republic of Kazakhstan, including:
- The Civil Code of the RoK;
- The Law of the RoK on Communications;
- The Law of the RoK on Personal Data and Their Protection No. 94-V of May 21, 2013;
- The Law of the RoK on Informatization.
The parties shall use reasonable efforts to resolve disputes through negotiation. Unresolved disputes are submitted to the specialized inter-district economic court of Almaty. For individual consumers, the territorial-jurisdiction rules established by law apply.
